These Terms & Conditions (“Terms”) govern your access to and use of duct.harsle.com (the “Site”), operated by Nanjing HARSLE Machine Tool Co., Ltd. (“HARSLE”, “we”, “us”, or “our”).

By accessing this Site or purchasing products from our Duct Division, you agree to be bound by these Terms.

HARSLE Duct Division supplies industrial duct fabrication machinery and related equipment primarily to business customers.

2. Use of Website

You agree to use this Site only for lawful purposes. You must not:

  • Disrupt or interfere with Site functionality
  • Copy or reproduce content without written permission

We reserve the right to suspend or terminate access if misuse is detected.

3. Product Information & Accuracy

We strive to ensure that product descriptions, images, and specifications are accurate. However:

  • Technical specifications may change without prior notice
  • Images are for reference only
  • Final configuration is subject to confirmation in Proforma Invoice (PI) or sales contract

In case of discrepancies, the signed PI or contract prevails.

4. Orders & Contract Formation

A. Inquiry-Based Orders

Most machinery sales are completed via:

  1. Quotation
  2. Proforma Invoice (PI)
  3. Payment confirmation
  4. Production & shipment

A binding contract is formed once:

  • Both parties confirm the PI or contract in writing
  • Required payment is received

B. Online Orders (If Applicable)

For spare parts or products purchased online, order confirmation email constitutes acceptance of the order.

We reserve the right to refuse or cancel orders due to:

  • Pricing errors
  • Stock unavailability
  • Compliance issues
  • Suspected fraud

5. Pricing & Payment Terms

Prices may be quoted in USD or other currencies as agreed.

Unless otherwise agreed:

  • Deposit is required before production
  • Balance payment is due before shipment

Accepted payment methods may include:

  • Bank transfer (T/T)
  • Letter of Credit (L/C)
  • Other agreed methods

Bank charges and intermediary fees are borne by the buyer unless agreed otherwise.

6. Shipping & Delivery

Shipping terms follow agreed Incoterms (EXW, FOB, CIF, DAP, etc.) stated in the PI/contract.

Delivery timelines are estimates only and may vary due to:

  • Production scheduling
  • Logistics delays
  • Customs procedures
  • Force majeure events

Risk transfer follows the agreed Incoterm.

7. Inspection & Acceptance

Buyer must inspect goods upon delivery.

Any claims regarding:

  • Visible damage
  • Short shipment
  • Incorrect model

must be reported within 7 calendar days of delivery.

Failure to notify within this period may constitute acceptance.

8. Warranty

Machinery and parts are covered under our separate Warranty Policy.

Warranty does not cover:

  • Normal wear and tear
  • Improper installation
  • Unauthorized modification
  • Damage caused by misuse

Warranty service may include remote support, spare parts supply, or other reasonable remedies.

9. Returns & Refunds

Returns and refunds are governed by our separate Refund and Returns Policy.

Due to the industrial and customized nature of our equipment, most machinery is non-returnable unless defective or incorrectly supplied.

10. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid for the specific product
  • We are not responsible for losses resulting from improper use, installation, or third-party modifications

Industrial equipment must be installed and operated by qualified personnel.

11. Intellectual Property

All content on this Site, including:

  • Logos
  • Product images
  • Technical documents
  • Text and layout

is the property of Nanjing HARSLE Machine Tool Co., Ltd.

Unauthorized reproduction or commercial use is prohibited.

12. Compliance & Export Regulations

Buyer is responsible for ensuring:

  • Compliance with local import regulations
  • Adherence to applicable electrical and safety standards
  • Observance of export control laws

We reserve the right to refuse transactions that violate international trade laws.

13. Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control, including:

  • Natural disasters
  • War or political instability
  • Government restrictions
  • Port congestion
  • Supply chain disruptions

14. Governing Law & Dispute Resolution

Unless otherwise agreed in a signed contract:

  • These Terms are governed by the laws of the People’s Republic of China
  • Disputes shall be resolved through friendly negotiation
  • If unresolved, disputes may be submitted to competent arbitration or court as agreed in the sales contract

For international contracts, arbitration clauses may be specified in the PI or agreement.

15. Modifications to Terms

We reserve the right to update these Terms at any time.

Updated versions will be posted on this page with a revised effective date.

Continued use of the Site constitutes acceptance of updated Terms.
